Ủy ban Chứng khoán phạt FLC gần 500 triệu đồng

Ngày 25/3, Ủy ban Chứng khoán Nhà nước có quyết định về việc xử phạt vi phạm hành chính đối với Công ty CP Tập đoàn FLC (FLC) trong giai đoạn năm 2018-2021.

Đây là kết quả thanh tra việc công bố thông tin của FLC từ giai đoạn 2018 đến 2021. Phần lớn là lỗi từ trước đây trong quá trình công bố thông tin như công bố không đúng thời hạn hoặc đầy đủ một số tài liệu như: tài liệu họp ĐHCĐ thường niên; báo cáo tài chính, báo cáo bổ nhiệm/từ nhiệm của thành viên HĐQT cũng như một số nghị quyết về giao dịch với các bên liên quan…

Đồng thời, về mặt quản trị, FLC chưa có thành viên HĐQT độc lập theo quy định của Nghị định số 155/2020/NĐ-CP

Cụ thể, việc công bố thông tin về một số nghị quyết HĐQT trong khoảng thời gian từ 24/3/2020 đến 13/5/2021. chưa đúng theo quy định trên hệ thống của Ủy ban Chứng khoán (hệ thống IDS Plus) và trang thông tin điện tử của Sở giao dịch Chứng khoán TP.HCM (HoSE)Bên cạnh đó, DN này cũng không công bố đúng thời hạn với các tài liệu báo cáo tài chính riêng, hợp nhất kiểm toán năm 2019, bán niên 2020, quý III/2020 và giải trình chênh lệch kết quả sản xuất kinh doanh Bên cạnh đó là các báo cáo về việc từ nhiệm, bổ nhiệm thành viên HĐQT và ban điều hay hay  việc góp vốn và thay đổi tỷ lệ sở hữu vốn tại Công ty CP Hàng không Tre Việt (Bamboo Airways) cũng không được công bố kịp thời.

Ủy ban Chứng khoán cũng phạt 200 triệu đồng về việc FLC công bố thông tin sai lệch trên báo cáo tài chính kiểm toán năm 2020 và bán niên 2021; các giao dịch với bên liên quan tại báo cáo tình hình quản trị năm 2020 và 2021.

FLC cũng bị xử phạt 70 triệu đồng do công bố thông tin không đầy đủ trên báo cáo tài chính kiểm toán năm 2019 do thuyết minh thiếu giao dịch, số dư với Công ty CP Nông dược H.A.I; Công ty CP Đầu tư và Khoáng sản FLC Stone và Công ty CP Đầu tư Thương mại và Xuất nhập khẩu CFS là các bên liên quan.

Cuối cùng là khoản phạt 125 triệu đồng do không đảm bảo đủ số lượng thành viên HĐQT độc lập theo quy định.

Đây là các vi phạm về hành chính, ngoài phạt tiền còn phải có các biện pháp khắc phục và về công bố thông tin và bổ dung các thành viên HĐQT theo quy định.

Các vi phạm kể trên thuộc nhóm vi phạm hành chính và công ty phải khắc phục hậu quả thông qua việc công bố thông tin, cải chính thông tin, bầu bổ sung thành viên HĐQT độc lập theo đúng quy định tại ĐHĐCĐ gần nhất…

Được biết, sau khi nhận được thông báo xử phạt, FLC đã tiến hành khắc phục, nộp phạt tổng số tiền 495 triệu. Riêng biệc bầu bổ sung thành viên HĐQT độc lập cũng sẽ được FLC tiến hành trong kỳ họp ĐHĐCĐ sắp tới.
