Ai đứng sau giúp Elon Musk mua Twitter?

Khi quyết định thâu tóm Twitter, Elon Musk nhận được sự hỗ trợ về tài chính từ nhiều ngân hàng đầu tư lớn.

Một trong những bước ngoặt của thương vụ diễn ra ngày 21/4, khi Elon Musk công khai kế hoạch chuẩn bị nguồn vốn 46,5 tỷ USD để mua lại Twitter. Trong hồ sơ gửi đến Ủy ban Chứng khoán và Giao dịch Mỹ (SEC), Musk cam kết bỏ ra 21 tỷ USD vốn cá nhân, 13 tỷ USD vay của Morgan Stanley và 12,5 tỷ USD vay ký quỹ từ những ngân hàng khác.

Nguồn vốn từ các “ông lớn”

Theo Reuters, năm ngân hàng lớn và một công ty tài chính là những đơn vị đứng sau hỗ trợ thương vụ trị giá 44 tỷ USD của Elon Musk.

Theo tuyên bố được đưa ra hôm 25/4, Goldman Sachs Group, JPMorgan Chase & Co. và ngân hàng đầu tư Allen & Co. là nhóm cố vấn cho Twitter. Trong khi đó, Morgan Stanley, Bank of America Corp. và Barclays Plc là cố vấn chính của Elon Musk.

Ít nhất 9 ngân hàng khác đang giúp Morgan Stanley, Bank of America và Barclays cung cấp khoản vốn 25,5 tỷ USD cho thương vụ này, bao gồm Credit Suisse Group AG, BNP Paribas SA, Citigroup Inc. và Deutsche Bank AG.

Ngoài khoản hỗ trợ 13 tỷ USD từ các ngân hàng, Musk dự kiến bổ sung thêm khoảng 21 tỷ USD tài trợ vốn cổ phần.

Tuy nhiên, Musk không tiết lộ nhiều về khoản tiền 21 tỷ USD trên. Theo Bloomberg, CEO Tesla có khối tài sản 257 tỷ USD, nhưng chỉ nắm trong tay khoảng 3 tỷ USD tiền mặt và một số tài sản có thanh khoản. Thế nhưng không ai biết khoản tiền này đến từ đâu.

Bloomberg đoán rằng các quỹ tư nhân có thể đã sẵn lòng cho Musk vay tiền hơn trước, sau khi thông báo mới chứng minh thỏa thuận này đã “suôn sẻ” hơn. Musk sẽ cần hỗ trợ của hơn 4 hoặc 5 quỹ khác nhau.

Một số cổ đông hiện tại cũng có thể quyết định chuyển cổ phần Twitter của họ vào công ty tư nhân mới này.

Như vậy, CEO Tesla sẽ không cần bỏ ra quá nhiều tiền, giúp các cổ đông của Tesla yên tâm rằng vị tỷ phú này sẽ không bán cổ phần của mình để đổ vào Twitter.

Ngoài việc hỗ trợ Elon Musk mua lại Twitter, Goldman Sachs và Morgan Stanley cũng từng rót vốn vào các thương vụ lớn, gây chấn động phố Wall.

Theo New York Times, năm 2021 Goldman Sachs đã hỗ trợ tập đoàn Vivendi của Pháp mua Universal Music Group với giá 32 tỷ USD và rót vốn để Salesforce mua lại Slack Technologies với giá 28,1 tỷ USD.

Trong khi đó, Morgan Stanley cũng rót vốn vào 2 giao dịch lớn trong năm 2021. Đó là vụ mua lại Maxim Integrated với giá 20 tỷ USD của nhà sản xuất chip Analog Devices và thương vụ mua Proofpoint với giá 12,3 tỷ USD của công ty cổ phần tư nhân Thoma Bravo.

Trợ thủ đắc lực của Elon Musk

Ngoài nguồn vốn từ các ngân hàng và công ty đầu tư, Elon Musk còn nhận được sự giúp sức của một trợ thủ đắc lực đứng đằng sau.

Văn phòng gia đình, nơi quản lý tài sản cho người giàu nhất hành tinh, đặt tại Austin, Texas, được gọi là Excession. Người thiết kế và điều hành Excession là Jared Birchall, cựu quản lý tại ngân hàng Morgan Stanley. Birchall cũng là cố vấn của Musk trong các giao dịch với phố Wall vài năm trở lại đây.

Birchall chuyển từ Morgan Stanley sang làm việc cho Musk vào năm 2016, với vai trò xây dựng và quản lý văn phòng gia đình. Hiện Birchall đang giữ nhiều chức vụ quan trọng trong các công ty do Elon Musk điều hành, như Giám đốc điều hành công ty công nghệ thần kinh Neuralink, Giám đốc Boring Company và thành viên hội đồng quản trị quỹ từ thiện cá nhân của tỷ phú này.

Việc Morgan Stanley cung cấp gói hỗ trợ tài chính cũng như tư vấn cho Musk là kết quả của việc xây dựng và vun vén mối quan hệ giữa tỷ phú người Nam Phi và gã khổng lồ ngân hàng dưới bàn tay của Birchall.

Hồi tháng 7/2018, một ngày sau khi Musk đăng bài trên Twitter thông báo Goldman Sachs và Silver Lake sẽ đảm nhiệm vai trò hỗ trợ kế hoạch tư nhân hoá Tesla, Birchall đã nhắn tin khuyên Musk nên xem xét tới vai trò của Morgan Stanley.

“Họ đang là nguồn lực tốt nhất của chúng ta theo phương diện cá nhân cho tới nay.
